  • Limitation and Exclusion of Liability Clauses: Caps on liability, types of damages excluded.

  • Guarantees and Performance Bonds: Ensuring contractual performance.

    • Cross-referencing and Consistency.
    • Boilerplate Clauses: Importance and common pitfalls.
  • Contract Review Processes:
    • Internal Review: Legal, Commercial, Technical, Financial.
    • Redlining and Negotiation Techniques (from a drafting perspective).
  • Finalizing the Contract: Formatting, annexures, schedules.
  • Execution of the Contract: Signatures, dates, effective date.
  • Post-Execution Responsibilities (Overview): Record-keeping, distribution.
  • Case Studies: Analyzing examples of well-drafted vs. poorly drafted contracts and their consequences.
  • Final Assessment: Participants will be required to prepare a draft of a significant section of a contract, incorporating best practices learned throughout the course, and justify their drafting choices.

Assessment Methodology

All courses conducted by EdTech will begin with a Pre-evaluation and end with a Post-evaluation.
